1. Acceptance of Terms

By accessing and using the moillasp website ("we," "our," or "us"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services Provided

moillasp provides software engineering, cyber security, and smart technology services to businesses and organizations. Our services include, but are not limited to:

• Custom software development (web, desktop, mobile, cloud)
• Cyber security assessments, penetration testing, and SOC monitoring
• Biometric access control and smart technology solutions
• Consulting, compliance, and advisory services

3. Client Responsibilities

When engaging our services, clients agree to:

• Provide accurate and complete information about their project requirements
• Cooperate with our team and respond to requests in a timely manner
• Ensure they have the necessary rights and permissions for any materials provided
• Pay all fees and charges as agreed in the engagement contract
• Maintain the confidentiality of any proprietary information shared during the engagement

4. Intellectual Property

All intellectual property created by moillasp during the course of a project shall be owned by the client upon full payment of all fees, unless otherwise agreed in writing. moillasp retains the right to use any general knowledge, skills, and experience gained during the project for future work.

• Custom code, designs, and deliverables created for clients are transferred to the client upon full payment
• moillasp retains ownership of any pre-existing tools, libraries, and frameworks used
• Both parties agree to protect each other's confidential information

5. Fees and Payments

Fees for services are outlined in the engagement contract or proposal. Payment terms are specified in each agreement. Unless otherwise stated:

• A 50% deposit is required to commence work on projects exceeding a specified value
• Remaining balance is due upon project completion or as per the agreed milestone schedule
• Late payments may incur interest charges at the rate of 1.5% per month
• All fees are quoted in the currency specified in the proposal

6. Data Privacy and Security

We take data privacy and security seriously. Our handling of personal data is governed by our Privacy Policy. By using our services, you consent to our collection and use of data as described in that policy.

• We implement industry-standard security measures to protect client data
• We do not sell or rent personal information to third parties
• Biometric data is processed ephemerally and purged within 5 seconds of a successful match
• We comply with GDPR, CCPA, and other applicable privacy regulations

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement. This includes business strategies, technical information, client data, and any other non-public information.

• Confidential information will not be disclosed to third parties without consent
• This obligation survives the termination of any agreement
• Information in the public domain is not subject to this obligation

8. Warranties and Disclaimers

Our services are provided "as is" and "as available." While we strive for excellence, we do not warrant that our services will be error-free or uninterrupted. We provide the following warranties:

• Services will be performed with reasonable skill and care
• Deliverables will conform to the specifications agreed upon
• We will comply with all applicable laws and regulations

To the maximum extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, moillasp shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services. Our total liability shall not exceed the total fees paid by the client for the services in question.

• We are not liable for any loss of data, revenue, or profits
• We are not liable for any third-party claims against the client
• We are not liable for any damages arising from unauthorized access to client data

10. Termination

Either party may terminate an engagement by providing written notice as specified in the agreement. Upon termination:

• All outstanding fees become immediately due and payable
• Client will receive all completed deliverables up to the termination date
• Both parties will return or destroy any confidential information
• Ongoing obligations of confidentiality survive termination

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising out of or relating to these terms shall be resolved through binding arbitration in Pakistan.

12. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with a revised "Last Updated" date. We encourage you to review these terms periodically.
